(Kuala Lumpur) Genting Bhd’s proposal to privatize Genting Malaysia Bhd has failed to meet the 75% shareholding threshold required for delisting, meaning Genting Malaysia will remain a publicly listed company.

According to Genting’s statement, as of 5 p.m. on December 1—the closing date of the takeover offer—the company had secured 4.14497 billion shares, representing 73.13% equity interest in Genting Malaysia.

Genting previously stated that if Genting Malaysia’s public shareholding were to fall below 25%, it would not maintain the company’s listing status. However, the final outcome shows that the privatization did not reach the necessary level to trigger a delisting.

On October 13, Genting announced a takeover offer at RM2.35 per share to privatize Genting Malaysia. On November 3, after its stake surpassed 50%, the exercise shifted from a conditional to an unconditional mandatory general offer.

The deadline, initially set for November 24, was later extended to December 1.

Independent advisers had earlier recommended that minority shareholders reject the privatization offer, citing an unattractive offer price and the stock’s strong liquidity.
